1. Acceptance of Terms

By accessing or using the Aleacor Platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

Aleacor Platform is a Software-as-a-Service (SaaS) platform that provides users with access to cloud services, computing resources, and AI model integrations. Access to services is granted through a token-based system.

3. Token System and Pricing

3.1. Services are accessed using tokens, where 1 token equals 0.01 USD (one cent).

3.2. Token prices are subject to change with 30 days' notice to users.

3.3. Tokens are non-refundable once purchased, except as required by applicable law.

3.4. Unused tokens do not expire but remain subject to these Terms.

4. Data Privacy and AI Training

4.1. Aleacor's Data Usage Policy

Data stored on Aleacor databases will NOT be used to train proprietary AI models or any models owned or operated by Aleacor. Your data remains your property and is used solely to provide you with the requested services.

4.2. Third-Party AI Model Providers

When you choose to grant access to external AI models or third-party providers through our platform, you acknowledge that:

  • The terms and conditions of those external providers apply to your use of their services
  • Those providers may have different data usage and privacy policies
  • Aleacor is not responsible for how third-party providers use, process, or train models with your data
  • You are responsible for reviewing and accepting the terms of third-party providers before using their services

4.3. Model Output Disclaimer

Aleacor disclaims all responsibility for outputs generated by AI models, whether hosted by Aleacor or third parties. AI-generated content may be inaccurate, inappropriate, or biased. Users are solely responsible for reviewing, validating, and using model outputs appropriately.

5. GDPR and Data Protection

5.1. Legal Basis for Processing (GDPR Article 6)

We process your personal data based on: (a) contractual necessity to provide services; (b) legitimate interests in operating our platform; (c) your explicit consent where required; and (d) legal obligations.

5.2. Your Rights Under GDPR

If you are in the European Economic Area (EEA), you have the right to:

  • Access your personal data
  • Rectify inaccurate data
  • Request erasure ("right to be forgotten")
  • Restrict or object to processing
  • Data portability
  • Withdraw consent at any time
  • Lodge a complaint with a supervisory authority

5.3. International Data Transfers

Your data may be transferred to and processed in countries outside your jurisdiction. We ensure appropriate safeguards are in place, including Standard Contractual Clauses (SCCs) approved by the European Commission.

5.4. Data Retention

We retain personal data only as long as necessary to provide services and comply with legal obligations. You may request deletion of your data at any time, subject to legal retention requirements.

6.1. California Privacy Rights (CCPA/CPRA)

California residents have the right to know what personal information is collected, request deletion, opt-out of sale/sharing, and non-discrimination for exercising privacy rights.

6.2. Other Jurisdictions

We comply with applicable data protection laws worldwide, including Brazil's LGPD, Canada's PIPEDA, and other regional privacy regulations.

7. User Accounts and Security

7.1. You are responsible for maintaining the confidentiality of your account credentials.

7.2. You must notify us immediately of any unauthorized access or security breach.

7.3. You are responsible for all activities under your account.

7.4. We reserve the right to suspend or terminate accounts that violate these Terms.

8. Acceptable Use Policy

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws or regulations
  • Infringe upon intellectual property rights
  • Transmit malware, viruses, or malicious code
  • Attempt to gain unauthorized access to our systems
  • Abuse, harass, or harm others
  • Scrape, mine, or harvest data without authorization
  • Resell or redistribute services without permission

9. Service Level and Availability

9.1. We strive to provide high availability but do not guarantee uninterrupted service.

9.2. We may perform scheduled maintenance with advance notice when possible.

9.3. Service levels may vary based on your subscription tier.

10. Intellectual Property

10.1. You retain all rights to your data and content.

10.2. Aleacor retains all rights to the platform, software, and proprietary technology.

10.3. You grant us a limited license to host and process your data to provide services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALEACOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Aleacor from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Termination

13.1. You may terminate your account at any time by contacting us.

13.2. We may suspend or terminate your access for violations of these Terms.

13.3. Upon termination, you may export your data within 30 days, after which it may be deleted.

14. Modifications to Terms

We may modify these Terms at any time. Material changes will be notified via email or platform notification. Continued use after changes constitutes acceptance of modified Terms.

15. Dispute Resolution

15.1. Any disputes shall be resolved through good-faith negotiations.

15.2. If negotiations fail, disputes may be submitted to binding arbitration, except where prohibited by law.

15.3. You retain the right to bring claims in small claims court.

16. Governing Law

These Terms are governed by the laws of Italy, without regard to conflict of law principles. This does not affect your statutory rights under local consumer protection laws.

18. Severability
